Adware? Trojan? Help please?

Alright. This has been a killer to deal with and so far it’s been beating me.
This is a Trojan that is in my system32 named vtUlLDst.dll
On Nod32 the threat shows up as “Win32/Adware.Virtumonde.FP application
On Avira the scan log shows as
C:\WINDOWS\system32\vtUlLDst.dll
[DETECTION] Is the Trojan horse TR/Vundo.Gen
[WARNING] The file could not be deleted!
It’s like there’s a program running in the background using the dll. I’ve for the most part have no extra toolbar add-ons and I don’t use IE.
I heard there was a virus that can’t be removed and it kills your pc slowly, I don’t think this is it but this one does not want to go. I’ve ran Avira/Nod32 in Safe Mode, Registry cleaner, etc. etc. This is the only virus left and I have no idea how it got there.
Reformating is the last thing I want to do because the Product Key on this laptop does not seem to work when I try to re-install Windows. Go figure. Help much obliged.

Also, there seems to be one or maybe two .exe programs that run on startup. Is this normal or should the only system32 related thing be run on startup is the taskbar and the like?
None of these answers helped. The virus was embdedded but it was embedded to what I believe was explorer.exe. To get rid of these kind of viruses you get a Hard boot. Which is where your computer deletes the file on the reboot. When you reboot though you have to put it in Safe mode in Command Prompt which is MS-DOS. This is for anyone else who has problems with this case.

    Dude this is an embedded type virus that cannot be deleted whatever you do and yeah it will slowly destroy your computer! i suggest you buy a pirated version of windows and reformat your computer with it. That way it does not need a product activation! Just don’t forget to backup your files!

    Reformatting yr pc is the only wise thing to do.use yr Cd-key,try to activate windows online…if cannot,call microsoft 1800886295 to activate.N do a full format of yr hdd.

    use avg trial version if u have puchased version of avg(permanent version).un install avira and switch off then install avg update from internet then scann ur comp if u have avg u have to update nearly 3 times a day .if hidden folders are visible in comp its best to use avg.it scanns trogen well

    This may help you

    if virus is creating autorun.inf file on your drive, this is the way you can delete those, Also When i faced Trojen Horse Onlinepsw.as something like this, it was hard time to get rid with this only with AVG, Norton is just crap.

    it’s better that u use antivirus that is bootable from a cd ;eg. hiren’s boot cd;
    if this does not help u r problem u should complete format u r hard disk and re install windows xp; and install some antivirus which have latest updates before intalling any thing else ; and to have a great scan;

    Reformatting has been the only answer for me. Even though Nod32 deleted the virus it kept replicating itself almost immediately. I was wondering why my CPU usage was down at 30% – it was Nod 32 continually trying to delete Virtumonde.I tried all the quick fixes- none worked.

    Get yourself a copy of the Magical Jellybean Keyfinder and run it to find out your current product key and take a note of it then do your reoinstall.
